1. Company Information

Sysmologic operates as a sole proprietorship registered in Canada. All services are provided under Canadian jurisdiction.

2. Scope of Services

Sysmologic provides professional services including:

  • Business website development
  • Web application development (non-enterprise)
  • Mobile application development
  • Dedicated developer services
  • Hosting & maintenance services

Enterprise ERP systems, large-scale SaaS platforms, and mission-critical infrastructure are outside the standard service scope.

3. Payments & Fees

A 40% deposit is required before work begins. The remaining balance is due before final deployment.

Failure to complete payment may result in suspension of services, withholding of deliverables, or termination of hosting.

4. Hosting & Source Code Policy

Sysmologic hosts and manages client projects directly through infrastructure providers (e.g., AWS, Netlify, etc.).

Source code is not transferred to the client unless explicitly agreed in writing. Standard price to get source code is 5.5x the development cost.

Clients receive usage rights to the deployed website or application. Intellectual property of proprietary systems, frameworks, and internal tools remains the property of Sysmologic.

5. Maintenance Plans

Recurring monthly or annual maintenance plans may include:

  • Security updates
  • Minor content updates
  • Performance monitoring

If a maintenance plan is cancelled, Sysmologic is not responsible for future compatibility, security vulnerabilities, or performance degradation.

6. Refund Policy

Deposits are non-refundable once work begins. Custom development services are non-refundable after milestones are delivered. Hosting, domain registrations, and third-party service fees are strictly non-refundable.

7. Limitation of Liability

Sysmologic shall not be liable for indirect, incidental, consequential, or special damages including loss of revenue, business interruption, or data loss.

Maximum liability shall not exceed the total amount paid by the client for the specific service in question.

8. Client Responsibilities

  • Provide accurate content and materials
  • Ensure legal rights to all submitted assets
  • Respond to approvals in a timely manner

9. Termination

Sysmologic reserves the right to terminate services for non-payment, breach of contract, or unlawful activity.

10. Governing Law

These Terms are governed by the laws of Canada. Any disputes shall be resolved within Canadian jurisdiction.
